1. Introduction

Welcome to EnergyBae. These Terms govern your access to and use of energybae.in and apply to all products, equipment, solutions, projects, quotations, and services — including renewable energy, EV charging, consultancy, engineering, maintenance, financing facilitation, insurance facilitation, and related services offered by EnergyBae Private Limited.

2. Eligibility

By accessing our website or services, you represent and warrant that you are at least 18 years of age, possess legal capacity to enter binding agreements, and will comply with all applicable laws. If accessing on behalf of an entity, you represent you have authority to bind that entity.

3. Website Services

The website enables users to submit enquiries, request quotations, schedule site surveys, apply for financing, request maintenance, upload documents, monitor projects, and access other features. EnergyBae reserves the right to modify, suspend, or discontinue any part of the website at any time without notice.

4. User Accounts

Certain features require an account. You are responsible for keeping information accurate and maintaining confidentiality of credentials. Any activity through your account is deemed to be by you. Notify EnergyBae immediately of any unauthorized access. EnergyBae may suspend or terminate accounts that violate these Terms.

5. Customer Information & Documents

You warrant that all information and documents provided are accurate, complete, current, and lawfully obtained, and that you have the authority to provide them. EnergyBae may verify any submission and may suspend or decline services where information is found to be false, inaccurate, or incomplete.

6. Quotations, Estimates & Proposals

Any quotation, estimate, proposal, feasibility study, savings projection, or financial model is for general informational and commercial evaluation purposes unless expressly stated otherwise. EnergyBae reserves the right to revise pricing, scope, specifications, and terms until a final agreement is executed.

All prices are subject to change based on project specifications, equipment availability, market conditions, taxes, duties, logistics costs, foreign exchange fluctuations, and other factors. EnergyBae reserves the right to revise pricing any time prior to final order confirmation.

9. Payment Terms

Payments shall be made per the applicable quotation, proposal, work order, or invoice on or before due dates. All payments are made without deduction, withholding, counterclaim, or set-off unless required by law. Cancellations, returns, and refunds are governed by our Cancellation, Return & Refund Policy.

10. Site Access

You shall provide EnergyBae and its representatives with safe, timely, and reasonable access to the project site for surveys, inspections, installation, testing, maintenance, and related activities. Delays or costs from restricted or denied site access are your responsibility.

11. Annual Maintenance Contracts (AMC)

AMC services are provided only where separately purchased or expressly included. Scope, duration, and inclusions are limited to those in the AMC agreement. Unless agreed otherwise, AMC does not include replacement parts, consumables, batteries, damage from misuse, vandalism, theft, or force majeure events.

12. Customer-Caused Delays

Where delays exceed 90 consecutive days from the originally scheduled execution date due to customer's act or omission, EnergyBae reserves the right to revise project pricing to reflect increases in equipment costs, logistics, taxes, labour, or other costs.

13. Site Conditions & Structural Responsibility

Unless expressly agreed in writing, EnergyBae does not provide structural certification or legal verification of title. You remain responsible for all necessary permissions, approvals, and confirmations. Structural strengthening, repairs, waterproofing, or civil modifications may incur additional charges.

14. Warranties

• Manufacturer Warranty: Equipment is subject to applicable manufacturer's warranty terms, passed through to the extent permitted.
• Workmanship Warranty: Scope and duration as specified in commercial documents.
• Generation Guarantees: Not implied from proposals or marketing materials — only valid if expressly stated in writing.

15. Government Approvals, Net Metering & Subsidies

EnergyBae assists with approvals, net metering, subsidies, and registrations on a best-efforts basis — not as a guarantee. Government policies and processes may change at any time. EnergyBae is not liable for delays, rejections, or changes in any government program.

16. Financing Facilitation

EnergyBae may assist in exploring financing through banks, NBFCs, fintech platforms as a facilitation service only — not as a lender or guarantor. All financing decisions are made solely by the financing provider. EnergyBae may receive commissions or referral fees from financing partners where permitted by law.

17. Carbon Credits & Environmental Attributes

Unless expressly agreed otherwise in writing, all rights to carbon credits, carbon offsets, renewable energy certificates (RECs), environmental attributes, and sustainability credits arising from a project vest in EnergyBae to the extent permitted by law. Any transfer requires an express written agreement.

18. Intellectual Property

All intellectual property in our website, content, reports, designs, drawings, software, trademarks, logos, and materials remains the exclusive property of EnergyBae or its licensors. You may not copy, modify, distribute, or exploit any intellectual property without prior written consent.

19. Limitation of Liability

You agree to indemnify and hold harmless EnergyBae, its directors, officers, employees, and representatives from any claims arising from your breach of these Terms, violation of applicable law, misuse of our services, or submission of false information.

20. Governing Law & Dispute Resolution

EnergyBae is not liable for delays or failures resulting from force majeure events including acts of God, war, terrorism, riots, fires, floods, strikes, or shortages beyond its reasonable control.

21. Amendments, Severability & Contact

EnergyBae reserves the right to amend these Terms at any time. Changes are effective upon publication. Continued use constitutes acceptance. If any provision is held invalid, remaining provisions continue in full force.
